Reconara provides an AI-powered financial analysis platform that enables corporate finance teams to analyze data, generate reports, create forecasts, and automate workflows. Our platform connects to third-party financial systems via read-only integrations to provide these services.

3. Account Registration

To access our platform, you must register for an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

4. Subscription and Payment

Certain features of our platform require a paid subscription. By subscribing to a paid plan, you agree to:

• Pay all fees associated with your selected plan
• Provide valid payment information
• Accept automatic renewal at the end of each billing period unless cancelled

We reserve the right to modify pricing with 30 days' notice. Refunds are handled in accordance with our refund policy.

5. Your Data

You retain all rights to data you provide to or connect with Reconara ("Your Data"). By using our services, you grant us a limited, non-exclusive license to access, process, and analyze Your Data solely for the purpose of providing our services to you. We will not:

• Use Your Data for any purpose other than delivering our services
• Share Your Data with third parties except as described in our Privacy Policy
• Use Your Data to train machine learning models
• Retain Your Data beyond your active subscription, except as required by law

6. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Attempt to reverse engineer, decompile, or disassemble our platform
• Interfere with or disrupt the integrity or performance of our services
• Attempt to gain unauthorized access to our systems or networks
• Use our services to compete directly with Reconara
• Resell or redistribute access to our platform without authorization

7. Intellectual Property

Reconara and its licensors retain all rights, title, and interest in and to our platform, including all software, algorithms, interfaces, documentation, and trademarks. These Terms do not grant you any rights to our intellectual property except the limited right to use our services as described herein.

8. AI-Generated Outputs

Our platform uses artificial intelligence to generate analyses, reports, forecasts, and other outputs. While we strive for accuracy, AI-generated outputs are provided for informational purposes and should not be the sole basis for financial decisions. You are responsible for reviewing and validating all outputs before relying on them.

9. Service Availability

We aim to maintain 99.9% uptime for our platform. However, we do not guarantee uninterrupted access and may perform scheduled maintenance with reasonable notice. We are not liable for any downtime or service interruptions beyond our reasonable control.

10. Limitation of Liability

To the maximum extent permitted by law, Reconara shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Reconara, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate these Terms at any time. You may cancel your account through our platform settings. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use our services ceases immediately, and we will delete Your Data within 30 days unless otherwise required by law.

13. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in New Haven County, Connecticut.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through our platform. Your continued use of our services after such changes constitutes acceptance of the updated Terms.
